Upon full payment, all custom code, designs, and deliverables created specifically for the client become the property of the client.

We retain ownership of any pre-existing code, frameworks, libraries, or tools used in the project. The client receives a license to use these materials as part of the delivered solution.

4.3 Portfolio Rights

We reserve the right to display project work in our portfolio unless a non-disclosure agreement specifies otherwise.

We agree to maintain the confidentiality of all proprietary information shared during the engagement. Both parties agree not to disclose confidential information to third parties without prior written consent.

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

6.2 Code Warranty

We provide a warranty period (typically 30-90 days depending on the project) during which we will fix bugs and issues at no additional cost, provided they are related to the original scope of work.

6.3 Disclaimer

Services are provided "as is" without any warranty of any kind, either express or implied, beyond the specific warranties stated above. We do not guarantee that our services will be uninterrupted or error-free.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

Our services may integrate with third-party services, APIs, or platforms. We are not responsible for the availability, functionality, or terms of service of third-party providers. Client is responsible for obtaining necessary licenses and accounts for third-party services.

Unless explicitly included in the project agreement or retainer, ongoing support and maintenance are billed separately at our standard hourly rates or through a maintenance package.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which we operate, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration rather than in court.
